THIS AGREEMENT ("Agreement") is made between the undersigned User and Smith Office equipment Co., Inc, d.b.a Smith Office Plus ("Smith"). Smith desires to extend to its customers and prospective customers access to its computer network as a convenient means for ordering and purchasing goods or services, but desires to provide safeguards against potential misuse or use by unauthorized persons. Therefore, for valuable consideration, receipt and sufficiency of which is acknowledged, Smith and User agree as follows:

1. Use of Access Codes: Subject to the terms of this agreement, User will be provided with a User ID and Password (the "Access Codes") providing User with access to Smith's computer network. User agrees to use the Access Codes for the sole purpose of ordering and purchasing goods or services from Smith. The Access Codes shall at all times remain the property of Smith.

2. User's Responsibility for use of Access Codes: User shall be fully responsible for payment of the purchase price of all goods and services ordered from Smith by any person using the Access Codes during the term of this Agreement. User agrees to limit access to and use of the Access codes to authorized representatives of User. User agrees to hold Smith harmless from any and all damage, cost and expense incurred by Smith as a result of use of the Access Codes assigned to User.

3. Termination; General Terms: Either party may terminate this Agreement by written notice to the other party, provided, however, that User shall continue to be responsible for all obligations incurred by User prior to the date of termination. Upon termination of this Agreement, Smith will disable User's Access Codes within a reasonable period of time. All notices required to be given to User under this Agreement shall be sent to User at its last known business address, and Smith at 50 Creasy Court, PO Box 157, Lafayette, IN 47902-0157, or to such other address as either party may designate pursuant to this section. In any dispute under this Agreement, the prevailing party shall be entitled to its costs of enforcement of this Agreement, including reasonable attorneys fees. This Agreement shall be governed by Indiana law.
